Mr. Gadiano is an attorney who concentrates his practice on intellectual property matters, namely transactions, litigation, prosecution and counseling.  He has broad experience advising clients on a wide range of legal and business related issues affecting life sciences, biotech, pharmaceutical, chemical and technology companies, universities and other non-profit institutions.  He assists clients in developing strategies that protect and leverage their intellectual property to optimize valuation and maximize commercial success.

 

Mr. Gadiano has over 25 years of experience working on intellectual property law related matters at large and mid-sized law firms, as well as small IP boutiques.  He regularly handles patent applications before the U.S. Patent and Trademark Office and litigation and non-litigation matters for clients.  He conducts right-to-use/freedom-to-operate and patent validity studies and opinions.  He has considerable experience in technology driven transactions in which he conducts IP due diligence reviews, negotiates and advises companies or investors in business related agreements, corporate financing and IP asset monetization deals (royalty/revenue stream purchases and securitizations). He has represented a variety of biotechnology, pharmaceutical, diagnostics and dietary supplement companies/technologies, as well as Internet and e-commerce enterprises and software businesses on IP issues and transactions ranging from inbound and outbound licensing, drug discovery and development deals, joint research and development collaborations, manufacture and supply arrangements distribution and reseller relationships, outsourcing agreements, and asset purchase and sale agreements, co-marketing agreements, software development and hosting projects, Internet/web relationships, strategic joint ventures/alliances, initial public offerings, mergers and acquisitions, divestitures, etc. He has conducted hundreds of IP due diligence investigations and transaction negotiations for some of the most sophisticated companies and respected investors. He is consistently called upon by high level executives and decision makers in the life sciences communities for his experience and skills in assessing risks and negotiating win-win solutions.

 

Mr. Gadiano received his B.A. degree from Wittenberg University and his J.D. degree from American University’s Washington College of Law in Washington, D.C. He was also a member of the adjunct faculty at the University of Maryland University College where he taught intellectual property law.

 

Mr. Gadiano is registered to practice before the United States Patent and Trademark Office and is a member of the District of Columbia Bar, the Virginia State Bar, United States Court of Appeals for the Federal Circuit and United States District Courts for the Eastern and Western Districts of Virginia.
